Just click and drag.
Open both files. Draw the path you want on the .png file. Go to the Path palette, (usually next to the layers palette) click on the path, drag the cursor over to the .jpg and let go.
Use the move tool (V) to place the path where you want it to go.

i got my result but in a different way. here is what i did.
i know it is a workaround and there will be more efficient ways to do this.
- opened png file. it has a quadrilateral and i want to import (get) it's outline in PSD file.
- created a new layer. using line command, drew quadrilateral's outline.
- deleted the original(initial) layer
- copied this outline to the PSD file and pasted there.
i could not follow your suggestion directly.
reason?when i open my Photoshop file and .png drawing as 2 files in photoshop, i don't know how to get the outline from png file to photoshop file.
can u share your experience?
